1. Overview
By accessing our website and/or purchasing services from Lubicode, you engage in our “Service” and agree to be bound by the following Terms and Conditions (“Terms”). These Terms apply to all users of the site or services, including without limitation browsers, clients, vendors, and contributors of content.
Please read these Terms carefully. If you do not agree to all the terms herein, you may not use our services or access the site. These Terms also incorporate any additional policies or conditions referenced here or available by hyperlink.
We reserve the right to update or change these Terms at any time. It is your responsibility to review them periodically. Continued use of our services after any changes constitutes your acceptance of the revised Terms.
2. Acceptance of Terms
You agree to these Terms by:

Paying an invoice;

Using our services;

Continuing communications or project work with Lubicode.
No signature is required for these Terms to apply. Acceptance is implied through conduct and agreement to engage services.
3. Services Overview
Lubicode provides custom-built digital tools, automation systems, hosting setup, web maintenance, and related digital services. Some services may include digital products licensed for use (not sold outright).
Unless otherwise agreed in writing, all services remain the intellectual property of Lubicode until full payment is received.
4. Domain Names and Hosting

Lubicode may assist in registering domain names and hosting through third-party providers.

The Client is solely responsible for owning rights to any chosen domain.

All third-party hosting/domain services are subject to their terms and conditions.

The Client must maintain current contact details with third-party services to avoid disruption.

Lubicode is not liable for any third-party hosting issues, expirations, or data loss.
5. Payment Terms

All prices quoted exclude VAT unless otherwise stated.

A 50% upfront payment is required before any work begins.

The remaining 50% is due upon project completion and before delivery.

Payment can be made via bank transfer, debit/credit card, Mollie, Stripe or PayPal.

Payment is due upon invoice receipt unless otherwise agreed.
Non-Payment Consequences

Late payments (30+ days overdue) may result in service suspension or site removal.

Lubicode reserves the right to charge interest and recovery fees for overdue invoices.

Clients in default may be referred to a collection agency.
6. Refunds and Chargebacks
Due to the nature of digital services:

No refunds are given once work begins or a product is delivered.

Clients must notify Lubicode in writing if dissatisfied within 10 days of delivery.

Chargebacks are considered a breach of agreement. Lubicode will dispute any unjustified chargebacks and seek reimbursement for fees and damages.
7. Client Responsibilities
Timely Provision of Content:
The Client shall provide all required content (text, images, logos, branding, etc.) within the agreed timeframe. Failure to provide this within two (2) weeks of project commencement may result in project suspension, with the remaining balance becoming immediately due.-
Designated Point of Contact:
The Client must appoint one main point of contact who is authorized to make decisions and provide approvals throughout the project. -
Access and Credentials:
The Client shall provide any required login or access credentials (e.g., FTP, hosting, CMS, analytics, domain registrar) to allow Lubicode to complete the work. Failure to do so may delay the project, for which Lubicode will not be held liable. -
Backup Responsibilities:
While Lubicode offers backup solutions as part of maintenance or support packages, the Client is ultimately responsible for ensuring the integrity of their website data and content. If the Client does not subscribe to Lubicode’s backup service, they are solely responsible for backing up all data and content on their end. -
Approval and Communication Delays:
If the Client causes delays by not responding to communication or approvals within a reasonable timeframe (typically 5–10 working days), Lubicode reserves the right to pause the project and invoice for completed work up to that point. -
Content Format:
All written content should be submitted in editable digital formats such as Microsoft Word, Google Docs, or email text. Each document should clearly indicate the intended page or section.
8. Client Review and Approval
Lubicode will provide previews for client approval during and after the project. If no feedback is provided within 10 days of delivery, the project will be deemed accepted.
9. Browser Compatibility
Websites are optimized for current major browsers. Lubicode is not responsible for functionality issues on outdated or newly released browsers unless quoted separately.
10. Licensing and Ownership

Upon full payment, Lubicode grants a non-exclusive license to use the final product.

Until payment is received, all work remains the property of Lubicode.

Clients may not resell, redistribute, or claim authorship of work created by Lubicode.
11. Additional Expenses
Clients agree to cover extra costs such as:

Stock photos, special fonts, plugins, software, or third-party tools required for project completion.
12. Termination Policy

Clients must submit cancellations in writing (email is sufficient).

The client will be invoiced for all completed work up to the date of termination.

Work paused or cancelled due to client inaction is billable.
13. Post-Launch Changes and Access
Lubicode is not responsible for:

Changes made by others after launch;
-
Third-party server issues;
-
Functionality changes due to updates or platform changes post-handover.
A separate quote will be issued for any requested modifications after launch.
14. Warranty and Limitation of Liability
Lubicode does not warrant that services will be error-free or uninterrupted. Liability is limited to the amount paid for services under this agreement.
Lubicode is not liable for:

Losses due to hosting, plugin failure, hacking, malware, or third-party issues;
-
Delays caused by circumstances beyond our control (e.g., war, strike, force majeure).
Bug fixes within 3 months of delivery are included if the hosting/platform has not changed. After this, changes are billable.
15. Legal Protection and Indemnity
Clients agree to indemnify and hold Lubicode harmless from any legal claims, disputes, or damages arising from:

Improper use of our services;

Copyright infringement by client-supplied content;
-
Use of third-party tools not managed by Lubicode;
-
Any claims resulting from unauthorized chargebacks.
16. Design Credit
Lubicode reserves the right to display a small credit link in the website footer unless agreed otherwise. Lubicode may include finished projects in its portfolio.
17. Severability Clause
If any term herein is deemed invalid or unenforceable, the remaining provisions remain in full effect. A legally enforceable substitute will be applied in place of the invalid clause.
18. Governing Law
These Terms are governed by Dutch law. Any disputes will be handled in the courts of The Hague, The Netherlands.
